General Conditions of Sale and Delivery
These General Conditions of Sale and Delivery govern the sale of goods by Amphenol Benelux B.V. to any party engaging in the purchase of goods or negotiating for such purpose (the "Client").
Key aspects covered include:
- Applicability: These conditions apply to all contracts of sale, related acts, and deliveries. They supersede all other conditions, particularly those applied by the Client, unless agreed otherwise in writing.
- Offer and Order: Offers are non-binding unless stated otherwise. Contracts are concluded upon Amphenol's written order confirmation. An order and shipment surcharge applies for deliveries under EUR 500. Contracts are subject to the Client's creditworthiness.
- Delivery: Goods will be delivered as agreed. Deviations in type, construction, dimensions, model, or color that do not affect the functioning of the goods are permissible. Partial deliveries are allowed. Delivery conditions are in accordance with Incoterms 2010.
- Delivery Period: The delivery period commences after contract conclusion and receipt of necessary data, documents, and any agreed payment. Amphenol may suspend the delivery period if the Client fails to comply with obligations. The Client has a purchase obligation and will be in default if goods are not accepted. Delivery periods are approximate and not strict deadlines. Exceeding delivery periods does not entitle the Client to compensation or non-compliance with obligations.
- Complaints: The Client must inspect goods immediately upon receipt. Complaints about externally visible defects must be notified in writing within two (2) working days. Non-externally visible defects must be notified within three (3) months. The Client must cooperate in complaint investigations. Submitting a complaint does not waive payment obligations. Amphenol has options to resolve complaints, including replacement, repair, refund, or credit.
- Retention of Title: Goods remain the property of Amphenol until full payment of all amounts owed.
